These Terms of Use govern your access to and use of Social Compass. Please read them carefully.

These Terms of Use (“Terms”) govern your access to and use of the Social Compass mobile application, website, and related services (collectively, the “Services”). The Services are provided by Social Compass, LLC (“Social Compass”, “we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Overview of Social Compass

Social Compass is a real-time, crowdsourced nightlife guide. Users vote on the current vibe and busyness of local venues (“Empty,” “Lively,” or “Packed”), and these votes are aggregated to display crowd indicators for nearby bars, clubs, and restaurants. Because these results depend on user contributions, they may not always reflect actual conditions. The information on Social Compass is not guaranteed to be accurate, complete, or up to date.

2. Eligibility

You must be at least 13 years old to use the Services. This requirement complies with the U.S. Children’s Online Privacy Protection Act (COPPA). If you are under the age of 18 (or the age of majority in your jurisdiction), you must have permission from a parent or legal guardian.

3. User Conduct

You agree not to:

  • Submit intentionally false, misleading, or fraudulent vibe votes.
  • Use bots, scripts, automation, or any means to manipulate ratings or crowd levels.
  • Interfere with, disrupt, or degrade the functioning of the Services.
  • Attempt to bypass security measures or gain unauthorized access to data or systems.
  • Reverse engineer, modify, or create derivative works of the Services.
  • Engage in abusive, unlawful, harmful, or offensive behavior while using the Services.
  • Impersonate another person or misrepresent your identity.
  • Upload or transmit malware, harmful code, or disruptive content.

We may restrict or terminate your access for violations of these Terms.

4. User Contributions (Votes, Check-ins & Feedback)

By submitting vibe votes, check-ins, comments, feedback, or other information (“User Content”), you grant Social Compass a non-exclusive, worldwide, royalty-free license to use, reproduce, aggregate, display, analyze, and improve the Services using such data. Vibe data is displayed publicly only in aggregate form — individual votes are not publicly identified. You are responsible for the accuracy of any User Content you provide.

5. Location Access

Certain features require access to your device’s location to show nearby venues, validate that votes relate to the area you are currently in, and improve accuracy of vibe data. You may disable location permissions at any time; however, some features may not function properly without it. Social Compass does not use continuous background location tracking unless your device settings explicitly permit it.

6. Venue Information & Third-Party Content

Social Compass displays information about venues from user input, public data, and third-party sources. We do not control any venue displayed in the app. We are not responsible for venue hours, events, capacity, accuracy, or safety; staff behavior, security actions, or crowd conditions; alcohol service, intoxication, or patron behavior; venue management decisions or policies; or any third-party content, maps, navigation tools, or links. Any interactions you have with venues or third-party services are solely between you and those parties.

7. No Warranties

The Services are provided “as is,” “as available,” and “with all faults.” We make no warranties, express or implied, including but not limited to accuracy, reliability, completeness of vibe data, availability, uptime, error-free performance, fitness for any purpose, safety, or conditions at any venue. You use the Services entirely at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, Social Compass and its affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages; lost profits, lost data, or financial losses; personal injury, property damage, or travel-related harm; misinterpretation of vibe results or venue conditions; third-party actions, venue incidents, or unsafe conditions; unauthorized access, data breaches, viruses, or harmful content; or errors, delays, outages, or technical issues. Your sole and exclusive remedy is to stop using the Services. Where liability cannot be excluded, our total liability shall not exceed $50 USD.

9. Indemnification

You agree to defend, indemnify, and hold harmless Social Compass, LLC and its officers, directors, employees, contractors, agents, and affiliates from any claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising from: (1) your use of the Services; (2) your violation of these Terms; (3) your violation of any law or regulation; (4) your User Content or feedback submissions; or (5) your interactions or disputes with venues or third parties. We may assume exclusive defense of any matter subject to indemnification, and you agree to cooperate as reasonably requested.

10. Suspension & Termination

We may suspend or terminate your access at any time, without notice, if you violate these Terms, engage in fraudulent or harmful behavior, we detect suspicious activity, we are required to comply with legal or safety obligations, or we discontinue the Services. Upon termination, all rights granted to you will immediately cease. You may stop using the Services at any time.

11. Changes to the Services

We may update, modify, or discontinue any feature or function of the Services at any time. We are not responsible for losses caused by such changes.

12. Updates to These Terms

We may modify these Terms periodically. When we do, the “Last updated” date will change. Your continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes must be resolved in state or federal courts located in Miami-Dade County, Florida, unless otherwise required by local law.
